Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, tools, and services provided by Innovative LLC, operating as Pinfluence Media ("Pinfluence Media," "we," "us," or "our"), including our Pinterest marketing services and the Pinfluence Media Dispatch platform (together, the "Services"). By using the Services, or by authorizing us to manage a Pinterest account on your behalf, you agree to these Terms. If you do not agree, do not use the Services.

1. The Services

Pinfluence Media provides Pinterest marketing and account-management services, including creating, scheduling, and publishing content ("Pins") to Pinterest accounts on behalf of our clients, and related tools. The specific work we perform for you is described in the separate agreement, proposal, or statement of work between us. If anything in that agreement conflicts with these Terms, that agreement controls.

2. Eligibility and accounts

You must be at least 18 years old and able to enter into a binding contract to use the Services. You are responsible for the accuracy of the information you provide and for any activity carried out under your authorization.

3. Pinterest and other third-party platforms

The Services connect to Pinterest through Pinterest's official API. When you authorize us to manage your Pinterest account, you grant Pinfluence Media permission to access that account and to create, schedule, publish, and read content and analytics on your behalf, using the permissions you approve during authorization. You confirm that you own or are authorized to manage any account you connect.

Your use of Pinterest remains subject to Pinterest's own Terms of Service and policies. We access and use Pinterest data only as permitted by Pinterest's Developer Guidelines and applicable law. You may revoke our access to your Pinterest account at any time through your Pinterest settings, which will end our ability to act on that account. We are not affiliated with, endorsed by, or sponsored by Pinterest.

4. Your content

You retain ownership of the images, text, links, and other materials you provide or that we create for you ("Client Content"). You grant Pinfluence Media a non-exclusive license to use, reproduce, adapt, schedule, and publish Client Content solely to provide the Services. You are responsible for ensuring that Client Content does not infringe the rights of others and that you have the rights needed for us to publish it.

5. Acceptable use

You agree not to use the Services to publish content that is unlawful, infringing, deceptive, spam, or that violates Pinterest's policies, and not to interfere with or misuse the Services. We may refuse, remove, or pause any content or activity that we reasonably believe violates these Terms or any platform's rules.

6. Our platform and intellectual property

The Services, including the Pinfluence Media Dispatch platform, software, and all related materials, are owned by Pinfluence Media and protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights. You may not copy, modify, resell, reverse engineer, or create derivative works from the Services.

7. Fees

Fees, billing, and payment terms, if any, are set out in your separate agreement with us. Unless that agreement says otherwise, fees are non-refundable.

8. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied. Pinfluence Media does not guarantee any specific results, including impressions, clicks, traffic, sales, rankings, or reach, all of which depend on factors outside our control, including Pinterest's algorithms and policies. We do not warrant that the Services will be uninterrupted, error-free, or secure.

9. Limitation of liability

To the fullest extent permitted by law, Pinfluence Media will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or related to the Services. Our total liability for any claim arising out of or related to the Services will not exceed the amount you paid us for the Services in the three months before the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Pinfluence Media from any claims, damages, or expenses arising out of Client Content you provide, your use of the Services, or your violation of these Terms or any third-party platform's rules.

11. Termination

Either party may end the engagement as described in your separate agreement. We may suspend or terminate access to the Services if you violate these Terms or if required to comply with a platform's rules or the law. On termination, our license to your Client Content ends, except for copies retained as required by law or already published to your accounts.

12. Changes to these Terms

We may update these Terms from time to time. Changes take effect when we post the updated Terms with a new effective date. Your continued use of the Services after changes means you accept them.

13. Governing law

These Terms are governed by the laws of the State of South Carolina, United States, without regard to its conflict-of-law rules. Any dispute will be resolved in the courts located in South Carolina, United States.
